1. Acceptance of Terms

By accessing or using our Services, you have read, understand, and agree to be bound by these Terms. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE OUR SERVICES. We may, in our sole discretion, revise the Terms from time to time with the new terms taking effect when posted on this page. By continuing to use our Services after the changes become effective, you agree to be bound by the revised Terms.

2. Privacy

How we collect, use, and disclose information, including personal information, that you provide to us via the Services is described in our Privacy Policy, which is an integral part of these Terms.

3. User Account Registration

You may need to create an account ("User Account") to access certain features of the Services. You agree to provide accurate, current, and complete information during the registration process. If you create a User Account you are entirely responsible for the security and confidentiality of that account, including your password. You are entirely responsible for any and all activities that occur under your User Account. You agree to immediately notify us of any unauthorized use of your User Account or any other breach of your User Account's security of which you become aware. By creating a User Account, you agree to receive service-related electronic communications from us.

4. Use of Services

You agree to use our Services only for purposes that are permitted by these Terms and any applicable law. You agree you will not engage or attempt to engage in any improper uses of the Services, including, but not limited to:

• (i) violating any applicable law or regulation;
• (ii) systematically downloading and storing any data from the Services;
• (iii) removing or changing any content of the Services or attempting to circumvent security;
• (iv) creating links to the Services from any other website without our prior written consent;
• (v) using any robot, data mining, or screen scraping process to circumvent the presentation of the Services;
• (vi) interfering with or disrupting the Services or the servers or networks connected to the Services; and
• (vii) modifying, copying, reproducing, reverse engineering, decompiling, or otherwise disassembling any portion of the Services.

5. Suspension and Termination of Access

We may, at our option and in our sole discretion, suspend, restrict or terminate your access to the Services if:

• (i) we are so required by a valid subpoena, court order or binding order of any government authority;
• (ii) we reasonably suspect you of using the Services in connection with any prohibited uses stated in Section 4;
• (iii) your use of the Services is subject to any pending litigation or investigation; or
• (iv) you breach these Terms.

6. Intellectual Property

All intellectual property rights in the Services and in any Content of the Services (including, but not limited to, text, graphics, design, software, photographs, videos, sound, trademarks, and logos) are owned by us or our licensors. Nothing in the Terms gives you any rights in respect of any intellectual property owned by us or our licensors. The Services and its Content, features, and functionality are and will remain the exclusive property of InterviewFox.

7. Subscriptions

Your subscription to the Services will continue and renew automatically until terminated. To use the Services you must have internet access and provide us with one or more Payment Methods. "Payment Method" means a current, valid, accepted method of payment. You must cancel your subscription before it renews in order to avoid billing of the subscription fees for the next billing cycle to your Payment Method.

All subscriptions to our Services, including renewals, are non-refundable. Our detailed refund policy is available in a separate document.

We may change our subscription plans and the price of our Services from time to time. We will notify you at least one month before any price changes will become effective.

8. Limitation of Liability

IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING OUT OF, BASED ON, OR RESULTING FROM THESE TERMS OR YOUR USE OF THE SERVICES.

9. Indemnity

You agree to indemnify, defend and hold harmless InterviewFox and our respective employees, officers, directors, and agents from and against all actual or alleged claims, damages, awards, and losses that are caused by, arise out of or are related to your use or misuse of the Services or your violation of these Terms.

10. Early Stage Service

Please be aware that our Services are in the early stages of development and may be subject to stability issues and intermittent downtime. The Services are provided on an "AS IS," and "AS AVAILABLE" basis.

11. Dispute Resolution

• Governing Law and Jurisdiction: These Terms shall be governed by the laws of the State of Delaware, USA, without regard to its conflict of law principles. You agree to submit to the personal jurisdiction of the federal and state courts located in the State of Delaware for any actions for which we retain the right to seek injunctive or other equitable relief.
• Mandatory Binding Arbitration: All disputes arising out of these Terms shall be resolved by confidential, binding arbitration to be seated in the State of Delaware by a single arbitrator pursuant to the Commercial Arbitration Rules of the American Arbitration Association.
• No Class Actions Permitted: You agree that any arbitration or action shall be conducted in your individual capacity only and not as a class action.
